Terms and Conditions
These terms govern the sale and use of PandaLogix software supplied by Tarini Engineering Works. Buying a licence, or installing the software, means accepting them.

1. Who you are contracting with
PandaLogix is a product line of Tarini Engineering Works, a sole proprietorship registered in India at Khasra No. 2915, Kataria Complex, Near Daulatabad Flyover, Gurugram, Haryana 122006, GSTIN 06BHKPP4243A1ZM. In these terms we means that firm and you means the person or organisation named on the order.
2. What a licence grants
A PandaLogix Edge Gateway licence is a perpetual, non-exclusive, non-transferable right to run one instance of the gateway software on one host machine, polling up to the number of controllers stated on your order. It does not expire, and it carries no renewal fee. Software you have licensed for a machine you have already shipped keeps working.
Tags are not metered. Every southbound driver and every northbound protocol described on the pricing page is included in every tier.
3. What a licence does not grant
- Running the gateway on more hosts, or polling more controllers, than the order covers. Additional capacity is an additional licence.
- Redistributing, reselling, sublicensing or embedding the software in a product you ship, unless you hold a written OEM-embed or volume agreement from us.
- Circumventing, disabling or reverse engineering the licensing and activation mechanism. Analysing the software for interoperability, where Indian law permits it, is not restricted by this clause.
- Removing or altering the attribution and licence notices the software ships with.
4. Activation and the control plane
A licence key is activated against a gateway through our cloud control plane, which also provides health, logs and remote commands. The gateway continues to poll and serve data while the control plane is unreachable; connectivity to us is not a condition of your plant running. What we collect through it is described in our privacy policy.
5. Limits on use — read this one
PandaLogix Edge Gateway reads data from industrial controllers and serves it to other systems. It is a connectivity and observability product. It is not a safety instrumented system, not a protective function, not a control system, and it is not certified to any functional safety standard.
Do not use it as any part of an emergency stop, interlock, protective trip, machine guarding function or any other arrangement where a delay, a stale value or a dropped connection could cause injury or damage. Data served by the gateway must not be the sole input to a decision with a safety consequence. Where the software writes to a controller, you are responsible for the interlocks that make those writes safe.
6. Price, taxes and invoicing
Prices on the pricing page are in Indian Rupees and exclusive of GST, which is charged additionally at the applicable rate. A GST invoice is issued against every order. Give us your GSTIN and registered name at purchase if you intend to claim input credit — we cannot reissue an invoice to a different entity after the fact.
7. Refunds
A licence may be refunded within 7 days of payment provided the key has not been activated on a gateway. The full conditions, and how to ask, are on the cancellation and refunds page.
8. Support
Every tier includes email support at business@tariniengg.in. Higher tiers add priority response, a named contact or an SLA as stated on the pricing page. Support covers the software as shipped. It does not cover your controllers, your network, your SCADA, or commissioning work not bought as a separate scope.
9. Warranty
We warrant that the software will perform substantially as its documentation describes. If it does not, and we cannot fix it within a reasonable period, you may return the licence for a refund of what you paid for it. Beyond that, the software is provided as is. We do not warrant uninterrupted or error-free operation, and we do not warrant that it fits a purpose we have not agreed in writing.
10. Liability
To the extent Indian law permits, our total liability arising out of or in connection with the software, on any basis, is limited to the amount you paid us for the licence concerned. We are not liable for lost production, lost profit, lost or corrupted data, or any indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud.
11. Termination
We may terminate a licence if you materially breach these terms — in practice, clause 3 — and do not remedy it within 30 days of written notice. On termination you must stop using the software and remove it from your machines. Your obligations under clauses 5, 10 and 12 survive.
12. Governing law
These terms are governed by the laws of India. The courts at Gurugram, Haryana, India have exclusive jurisdiction, save that either party may seek urgent injunctive relief anywhere it is needed.
13. Changes
We may revise these terms. The version in force for your purchase is the one published on the date of your order, and a perpetual licence already sold is not made worse by a later revision. The effective date at the top of this page is when the current version took effect.
